Russ is a business lawyer and counselor with broad experience as a law firm transaction attorney, company general counsel, and business development VP at two companies, a mid-cap (Labtec with $100MM in revenues) and a multi-national (GE).
In his 19 years as a lawyer and business development executive, Russ has led and teamed in the strategizing, negotiation, closing, and execution of a wide range of deals and business matters, from corporate financing and commercial contracts to formations and fundings to mergers and acquisitions, as well as employment, licensing, and intellectual property matters. In all matters, he emphasizes business counseling including strategic advice and practical recommendations.
Russ’ legal experience also includes extensive international work, especially in Asia and Europe; trade regulation; compliance; and litigation management.
REPRESENTATIVE TRANSACTIONS
- Negotiated and closed licensing, manufacturing, and sales transaction for medical device company with strategic partner, in conjunction with exit positioning
- Negotiated and closed start-up formation between technology contributor and strategic partner & funder, with exit events defined and monetized
- Managed in-house side of sale of company for cash and stock consideration totaling $125MM
- Closed acquisition of software company for approximately $30 MM
- Led equity sales in cargo security venture to Siemens, Samsung, and Mitsubishi for $32MM, including broader strategic partnerships, multinational government relations, press releases and events
- Negotiated and closed software license for $3MM revenue and $2MM annual fees
- Negotiated and closed technology license enabling retention of $3MM software capitalization
- Established and maintained IP program (invention capture, patent process, trademark and copyright registration, trade secret management, product clearance)
- Negotiated and closed facility lease for southeast Asia unit
- Negotiated and closed numerous commercial agreements with customers, vendors and partners
- Led business development efforts, including strategic analysis, target/opportunity identification, relationship-building, due diligence, financial analysis, negotiation, closing, integration, and presentations
