We collaborate with Graham & Dunn’s tax attorneys to help clients analyze and structure the appropriate form of ownership entity and transaction for real estate assets. The choice, structure, and formation of an ownership entity or transaction can help increase the value of a real estate asset and reduce legal risk. Services include:
- Reviewing proposed deal structures prior to execution of letters of intent, and advising clients with respect to structuring considerations.
- Preparing deal structure charts showing the various entities and relationships that are advisable to successfully implement a deal strategy.
- Forming deal appropriate entities as may be necessary to address client needs.
- Drafting and negotiating limited liability company agreements, partnership agreements, tenant-in-common (TIC) agreements, and corporate organizational documents and other such joint venture documents.
